PLEASE READ THIS AGREEMENT CAREFULLY. IT SETS FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR PARTICIPATION IN THE TREEHOUSE LOYALTY PROGRAM.

For use only by adults twenty-one (21) years of age and older. Keep out of reach of children and pets. Cannabis can be addictive. Cannabis may impair cognition and may be habit forming. There may be health risks associated with consumption of cannabis. Cannabis can impair concentration, coordination, and judgment. Do not operate a vehicle or machinery under the influence of cannabis. Please consume responsibly.

1. PROGRAM OVERVIEW

The Treehouse Loyalty Program (the "Program") is offered by The Next Chapter NY LLC ("Treehouse," "we," "us," or "our"). The Program allows members to earn points ("Leaves") for qualifying purchases and redeem these points for rewards, subject to these Terms and Conditions ("Terms").

2. ELIGIBILITY AND COMPLIANCE

Program membership is available only to individuals who are:

  • Twenty-one (21) years of age or older (verified with valid government-issued ID)
  • Legal residents of New York State
  • In compliance with all applicable state cannabis laws and regulations
  • Not purchasing for resale or commercial purposes

We reserve the right to verify your eligibility at any time and to deny or revoke membership if eligibility requirements are not met.

3. ENROLLMENT AND ACCOUNT SECURITY

You may enroll in the Program:

  • In-store at any Treehouse location
  • Online at our website

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Promptly notifying us of any unauthorized use
  • Keeping your contact information current and accurate

4. EARNING POINTS

Members earn one (1) Leaf for every one dollar ($1.00) spent on qualifying purchases. Points are not earned on:

  • Sales tax
  • Gift card purchases
  • Previous purchases
  • Shipping or delivery fees
  • Special promotional items as marked
  • Items prohibited by law from inclusion in loyalty programs

5. REDEEMING POINTS

Leaves may be redeemed:

  • In-store at any Treehouse location during regular business hours
  • Online through our website for in-store pickup only
  • For products or discounts as specified in our rewards catalog

Points have no cash value and cannot be exchanged for cash. Points are non-transferable and cannot be combined with other members' points.

6. RETURNS AND REFUNDS

For returned items:

  • Points earned from the purchase will be deducted from your account
  • If points were redeemed for the purchase, they will not be reinstated
  • Returns are subject to our standard return policy
  • Points deductions may result in a negative point balance

7. GIFT CARDS

The following applies to gift cards:

  • Points cannot be earned on gift card purchases
  • Points can be earned when using a gift card for payment
  • Points cannot be redeemed for gift cards
  • Gift cards have no cash value and cannot be replaced if lost or stolen

8. FRAUD PREVENTION

The following activities are strictly prohibited:

  • Creating multiple accounts
  • Sharing accounts between individuals
  • Manipulating point earnings or redemptions
  • Providing false information
  • Reselling or transferring rewards

Violation of these terms may result in immediate termination of membership and forfeiture of all points.

9. SOCIAL MEDIA CONTENT

If you choose to earn points through social media activities:

  • You must disclose your relationship with Treehouse in all posts
  • Content must comply with all applicable laws and platform rules
  • Content must not promote excessive or irresponsible consumption
  • We reserve the right to remove points for non-compliant content

10. TAX IMPLICATIONS

Members are solely responsible for:

  • Determining tax liability for points and rewards
  • Paying all applicable taxes on redemptions
  • Reporting reward values as required by law

The value of rewards may be reported to tax authorities if required by law.

12. FORCE MAJEURE

Treehouse shall not be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature, fire, flood, earthquake, other natural disasters, terrorism, government intervention, embargoes, labor disputes, equipment failure, or any other circumstance beyond our reasonable control.

13. ASSIGNMENT

You may not assign or transfer your membership or points. We reserve the right to assign our rights and obligations under these Terms to any party at any time without notice to you.

14. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any principles of conflicts of law. Any dispute shall be subject to the exclusive jurisdiction of the state courts located in New York.

15. ARBITRATION AND CLAIMS RESOLUTION

Most concerns can be resolved by contacting our Customer Service Department at (845) 358-8733 (TREE) or emailing us at info@treehousecanabis.com. If Customer Service cannot resolve your complaint satisfactorily, this section explains how claims can be resolved through mediation, arbitration, or litigation.

Covered Claims

"Claim" means any current or future claim, dispute, or controversy relating to:

  • Your participation in the Treehouse Loyalty Program
  • These Terms & Conditions or any prior program agreement
  • Initial claims, counterclaims, crossclaims, and third-party claims
  • Claims based on contract, tort, fraud, statute, regulation, common law, and equity
  • Program account or point balance disputes
  • Advertisements, promotions, or statements related to the program
  • Reward redemption and usage

Claim Notice and Mediation

Before initiating arbitration, you must first send a written notice to: Treehouse Claims Department, 28 route 59, Nyack NY 10960. The notice must include your name, contact information, and a detailed description of your claim. Within 30 days of the claim notice, either party may submit the claim to JAMS or the American Arbitration Association (AAA) for mediation.

Arbitration Procedures

Claims will be resolved through binding arbitration administered by either JAMS (1-800-352-5267) or AAA (1-800-778-7879). The arbitration will be conducted in New York under the selected organization's rules. Arbitration proceedings will be confidential. For claims under $10,000, you may choose whether the arbitration will be conducted through documents only, telephone, or in-person hearing.

Limitations

Claims must be brought on an individual basis. Class actions, representative actions, and consolidation with other arbitrations are not permitted. The arbitrator's decision will be final and binding, subject to appeal rights within 35 days of the award.

Fees and Location

Arbitration hearings will take place in Rockland County, New York. You will be responsible for your share of arbitration fees, including filing, administrative, and hearing fees, unless otherwise required by law.

This arbitration provision is governed by the Federal Arbitration Act. The arbitrator will apply applicable substantive law, statutes of limitations, and privileges. This section will survive termination of the program or your participation in it.

By participating in the Treehouse Loyalty Program, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
